1. Introduction & Platform Role
These Terms of Service ("Terms") govern your access to and use of Ticketz platform ("Platform", "we", "us", or "our"), operated by the Platform owner.
IMPORTANT — THE PLATFORM IS A FACILITATOR ONLY.
We provide software tools that enable Event Organizers to create events, list tickets, collect payments, and manage attendee check-ins. We do not organize events, sell tickets, or act as a party to any ticket sale. All ticket sales are contracts directly between the Event Organizer ("Organizer") and the ticket buyer ("Buyer"). We are not an agent, representative, or partner of any Organizer.
By using the Platform, you acknowledge and agree that we are a neutral technology provider and assume no responsibility for the quality, safety, legality, or delivery of any event, product, or service advertised or sold through the Platform.
2. Definitions
- "Platform" — Ticketz website, applications, and related services.
- "Organizer" — any user who creates an event, lists tickets, or uses the Platform to sell or distribute tickets.
- "Buyer" — any user who purchases, receives, or holds a ticket for an event through the Platform.
- "Ticket" — a digital or physical entitlement to attend an event, issued through the Platform.
- "Event" — any gathering, performance, or experience for which tickets are sold or distributed via the Platform.
3. Account Registration
To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.
4. For Organizers
4.1 Event Creation & Listing
Organizers are solely responsible for the accuracy of all event information, including dates, times, locations, pricing, capacity limits, and descriptions. You may not list events that are illegal, fraudulent, misleading, or that violate any applicable law or third-party rights.
4.2 Payment Processing
The Platform integrates with third-party payment processors (e.g., Stripe) to facilitate transactions. By listing tickets, you authorize us to process payments on your behalf and to deduct applicable platform fees before remitting funds to you.
You are solely responsible for complying with all tax obligations arising from ticket sales, including but not limited to VAT, sales tax, and income tax. We do not provide tax advice and are not responsible for your tax filings.
4.3 Payouts
Payouts to Organizers are subject to verification, anti-fraud checks, and the policies of our payment partners. We reserve the right to delay or withhold payouts if we suspect fraud, chargebacks, or violations of these Terms.
4.4 Cancellations, Postponements & Refunds
THE ORGANIZER IS SOLELY RESPONSIBLE FOR EVENT CANCELLATIONS, POSTPONEMENTS, AND REFUNDS.
If an Event is cancelled, postponed, or materially changed, the Organizer must communicate this to Buyers directly and handle all refunds or compensation. The Platform has no obligation to refund Buyers on behalf of Organizers.
If a Buyer requests a chargeback through their bank or payment provider, the Organizer bears full responsibility for resolving the dispute. We may recover chargeback amounts, fees, and penalties from the Organizer's pending payouts or account balance.
5. For Buyers
5.1 Ticket Purchases
When you purchase a ticket through the Platform, you are entering into a direct contract with the Organizer. The Platform is not a party to that contract. All questions about the event, venue, accessibility, age restrictions, or refund policies must be directed to the Organizer.
5.2 Refunds & Disputes
Refund policies are set by each individual Organizer. We do not guarantee refunds. If an Event is cancelled and the Organizer fails to issue a refund, your recourse is against the Organizer, not against the Platform.
In the event of an Organizer's insolvency, bankruptcy, or disappearance, the Platform has no obligation to compensate Buyers. Buyers assume this risk when purchasing tickets.
5.3 Ticket Transfers & Resale
Tickets may be subject to transfer restrictions set by the Organizer. Unauthorized resale or scalping is prohibited and may result in ticket cancellation without refund.
6. Platform Fees
The Platform charges fees for the use of our services. These fees are disclosed at the time of ticket purchase or event creation and may include a per-ticket service fee and/or a percentage of the transaction.
All fees are non-refundable unless otherwise required by law. If an Event is cancelled, Platform fees are not refundable, as we have provided the technology service regardless of whether the event took place.
7. Intellectual Property
Organizers retain ownership of their event content, trademarks, and branding. By uploading content to the Platform, you grant us a non-exclusive, royalty-free license to use, display, and distribute that content solely for the purpose of operating and promoting the Platform.
The Platform's software, design, trademarks, and content are our property or the property of our licensors and are protected by intellectual property laws.
8. Prohibited Activities
Users may not:
- Use the Platform for illegal, fraudulent, or deceptive purposes;
- Sell tickets for events that do not exist or that the seller has no right to sell;
- Circumvent or interfere with the Platform's security or payment systems;
- Scrape, harvest, or collect user data without consent;
- Use bots, scripts, or automated tools to purchase tickets in bulk;
- Harass, abuse, or harm other users;
- Upload viruses, malware, or harmful code.
9. Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Platform immediately ceases.
Provisions that by their nature should survive termination (including liability limitations, indemnification, and intellectual property) will survive.
10. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT PROVIDED BY ORGANIZERS, AND WE DO NOT ENDORSE ANY ORGANIZER, EVENT, OR TICKET LISTING.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE PLATFORM, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:
- ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
- ANY DAMAGES ARISING FROM EVENT CANCELLATIONS, POSTPONEMENTS, OR CHANGES;
- ANY DAMAGES ARISING FROM ORGANIZER MISCONDUCT, FRAUD, OR INSOLVENCY;
- ANY DAMAGES ARISING FROM BUYER-ORGANIZER DISPUTES;
- PERSONAL INJURY, PROPERTY DAMAGE, OR DEATH OCCURRING AT OR IN CONNECTION WITH ANY EVENT.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).
THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Platform and its owners, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of the Platform;
- Any event you organize or ticket you sell;
- Your violation of these Terms or any applicable law;
- Your infringement of any third-party right;
- Any dispute between you and another user.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the competent courts of Amsterdam, the Netherlands.
Class Action Waiver: You agree that any proceedings, whether in arbitration or court, will be conducted only on an individual basis and not as a class action, collective action, or representative action.
14. Modifications
We reserve the right to modify these Terms at any time. Material changes will be notified via email or a prominent notice on the Platform. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
